How an engagement works.
The full agreement is a document you sign, not a page you scroll. This is what is in it, in plain terms, so nothing on the call is a surprise.

Who you are contracting with
Fons AI Studio (incorporation in progress), operating from Toronto, Ontario.
Incorporation is in progress. Until it completes, the contracting party named on your agreement will be the current legal entity, and we will tell you plainly which that is before you sign anything.
You own every account
Your domain, your website host, your phone number, your calendar, your CRM, your Google accounts, your model provider and your voice platform are all in your name and billed to your card.
We hold a permission you can revoke from your own settings without asking us, and we store a pointer to a secret rather than the secret itself. Revoke it and everything stops, because we never held anything.
If you leave
Your Brand Brain, your phone number, an export of your Lead Ledger, your report history and every connected account go with you. They were always yours.
The agent prompts and the test suites stay with us. Those are how the work is done rather than what you bought.
You have 30 days from the end of the engagement to export. After that we delete your data on the documented retention schedule.
Paying
Builds under $5,000 are half on signing and half on launch. Larger builds are 40% on signing, 30% at first review and 30% on launch, so a long build never runs more than a few weeks of unpaid work.
Department setup is invoiced with the deposit, because that is when the work happens. The monthly begins on your launch date, billed a month ahead, never backdated to signing.
Invoices are due within 14 days. Vendor costs never appear on our invoice because they were never ours: your providers bill you directly.
If an invoice runs late
At 15 days we pause new work. Your running agents keep running.
At 30 days console access is suspended, with written notice first. Agents still keep running.
At 45 days agents stop and the engagement ends, with your 30 day export window starting then.
Your agents keep answering through the first two stages on purpose. Switching off a cleaning company's phone line over a late invoice punishes their customers rather than them, and turns a payment problem into a reputation problem for us.
Refunds
Build and setup fees are fully refundable before we start and non-refundable once work begins. The work is bespoke and front-loaded, and there is nothing to resell.
Retainers run three months minimum, then month to month with 30 days' notice. The minimum exists because the eval cycle and the report need a quarter to show anything.
Vendor costs are never refundable by us, because they were never ours.
The one thing we guarantee
Every agent is tested against a written suite before going live and again after every model update. If a deployed agent fails that suite and we cannot restore it within ten business days, you may end the engagement immediately and that month is refunded pro rata.
We do not guarantee outcomes. No rankings, no booking volumes, no revenue figures. Those depend on your market, your prices and your competitors. An agency that guarantees them is writing a cheque a slow quarter will cash.
What the agents will not do
No binding prices, no promises about timing or outcomes, and no advice in a regulated area. Clinical, diagnostic and medication questions, legal advice, and allergen or dietary safety are hard stops that hand the caller to a person.
Nothing is published under your name without you approving it. No email is sent without a recorded basis for contacting that person.
